2. Services provided

The services offered are Android application development, iOS application development, backend and API development, software architecture review and technical consulting, one-to-one training and mentoring, live online classes and group training, and technical writing including books and documentation. Each service is described in detail on the Services page.

Services are supplied to businesses and to individuals. {STUDIO} is under no obligation to accept any particular piece of work, and an inquiry does not create a contract.

3. Quotes and proposals

Work begins only after a written proposal has been issued and accepted. Each proposal sets out the scope, the deliverables, the milestone schedule, the price and any assumptions the price depends on.

An initial discovery call is provided at no charge. Quotes remain valid for 30 days from the date of issue unless stated otherwise in the proposal.

4. Scope and changes

Fixed-price work is priced against the scope written in the accepted proposal. Anything outside that scope is a change request: it is estimated separately in writing and only carried out once you approve the additional cost and any effect on the schedule.

Hourly and retainer engagements do not require change requests; time is reported against the work as it is performed.

5. Fees, invoicing and payment

Unless the accepted proposal states otherwise:

  • Fixed-price projects are invoiced 50% on acceptance of the proposal and 50% on delivery. Projects longer than approximately six weeks are split across the milestones named in the proposal.
  • Monthly retainers are invoiced in advance at the start of each month.
  • Hourly consulting is invoiced monthly in arrears against a time record that accompanies the invoice.
  • Training, classes and mentoring are invoiced in advance of the first session or the start of the cohort.
  • Writing work is invoiced per the schedule in the proposal, typically on acceptance and on delivery of the final manuscript.

Currency and payment methods

Invoices are issued in United States dollars (USD). Payment is accepted by international bank transfer and by Payoneer. Bank charges, intermediary fees and currency conversion costs applied by the paying institution are the client’s responsibility; the invoiced amount must be received in full.

Payment terms

Invoices are due within 7 days of the invoice date unless a different period is agreed in writing. Where an invoice remains unpaid after the due date, work on the engagement may be paused until payment is received, and scheduled delivery dates move accordingly.

6. Taxes

Prices are exclusive of any tax, duty or levy that a client’s own jurisdiction may impose on the purchase of services from abroad. Where a client is required to withhold or account for such amounts, that is the client’s responsibility and does not reduce the sum payable under the invoice. Any tax due in Bangladesh on income earned is the studio’s own responsibility.

7. Cancellation and refunds

Before work begins. If you cancel an accepted proposal before any work has started, the deposit is refunded in full.

After work begins. If you cancel part-way through, you are invoiced for the work completed and the deliverables produced up to the date of cancellation, and anything already paid beyond that amount is refunded. Work completed is assessed against the milestones in the proposal.

Training and classes. Individual sessions may be rescheduled at no cost with at least 24 hours’ notice. Sessions missed without notice are treated as delivered. A cohort or package may be cancelled before the first session for a full refund; after the first session, the unused portion is refunded on a pro-rata basis.

If {STUDIO} cancels. If we are unable to continue an engagement for any reason, you are refunded in full for any work invoiced but not delivered, and we will hand over everything produced to that point.

Refunds are returned by the same method the original payment was made.

8. Client responsibilities

Delivery dates assume timely input from your side: access to the systems, accounts, designs, content or test data the work depends on, and feedback on milestones within a reasonable period. Where delays are caused by outstanding input from the client, the schedule moves by the length of the delay.

You confirm that any material you supply — content, designs, code or data — is yours to supply and does not infringe anyone else’s rights.

9. Intellectual property

On receipt of final payment for an engagement, all intellectual property rights in the deliverables created specifically for you transfer to you, together with the source code and the accompanying documentation.

Pre-existing components, general-purpose libraries and reusable tooling that {STUDIO} brings to the work remain ours, and you receive a perpetual, non-exclusive licence to use them as part of the delivered work. Third-party open-source components remain under their own licences, which are listed on delivery.

Books, course material and teaching content remain the intellectual property of {STUDIO} unless the proposal expressly says the work is commissioned as a transfer of rights.

{STUDIO} may describe the general nature of an engagement as a reference unless you ask in writing that we do not. No confidential detail, code or commercial term is ever disclosed.

10. Confidentiality

Information you share that is not public is treated as confidential and is not disclosed to anyone else or used for any purpose other than performing the work. This obligation continues after the engagement ends. We are happy to sign your own non-disclosure agreement before commercial or technical detail is exchanged.

11. Warranty and post-delivery support

Delivered work is warranted to perform materially as described in the accepted proposal. Defects reported within 30 days of delivery that fall inside the agreed scope are corrected at no additional charge.

The warranty does not cover changes made by others after handover, faults caused by third-party services or platform changes outside our control, or new requirements that were not part of the agreed scope. Ongoing maintenance beyond the warranty period is available as a monthly retainer.

12. Limitation of liability

Nothing in these terms limits liability for fraud or for anything that cannot lawfully be limited. Subject to that, total liability arising from an engagement is limited to the total fees paid for that engagement, and neither party is liable for indirect or consequential loss, including loss of profit, revenue, data or anticipated savings.

13. Governing law

These terms are governed by the laws of Bangladesh, and the courts of Bangladesh have jurisdiction over any dispute. Both parties agree to attempt to resolve any disagreement directly, in good faith, before starting proceedings.

14. Changes to these terms

These terms may be updated from time to time. The version in force for an engagement is the version published on the date the proposal for that engagement was accepted. The date at the top of this page shows when it was last revised.
